Glass Lewis has released its 2023 policy updates for U.S. companies, which take effect for annual meetings beginning on Jan. 1, 2023. The U.S. guideline revisions pertain to board diversity, board oversight of environmental and social (E&S) matters, over boarding and long-term incentives, as well as some clarifying amendments. Glass Lewis has also crafted new policies on board oversight of cyber risk, board accountability for climate change and corporate officer exculpation.
